TERMS AND CONDITIONS

By registering for the Event, you (“Registree”), hereby agree to all the terms of this Agreement. This Agreement incorporates by reference all policies and other content that appears on our website, www.healthcareadvocatesummit.com, (“Website”). Host reserves the right to change this Agreement at any time with or without prior notice. In the event changes are made, a revised Agreement will be posted to the Website.

The Healthcare Advocate Summit 2025, (“Event”) is scheduled for September 2-5, 2025 (“Event date”) at the Caesars Palace (“Venue”). The host has secured discounts on a limited block of hotel rooms at the Caesars Palace in Las Vegas, NV (“Hotel”).

“Registration fee” shall include: access to attend the live in-person conference‚ access to the on-demand platform, program materials distributed by the Host‚ and provided food and beverage. Registree understands the Host shall not provide flights, transportation, lodging, accommodations, or any other form of compensation unless otherwise agreed upon separately in writing.

Registree understands logistics of the Event are subject to change at any time, for any reason, with or without notice from Host. Should the logistics of the Event be modified, the Host shall make reasonable efforts to find a similar replacement.

PAYMENT

Online payments are processed by trusted platforms: Stripe, J.P. Morgan ‘WePay’, or Webconnex Payments (by RegFox), and will appear as Prescribe+, LLC (Prescribe Plus, LLC) (“PRESCRIBEP“) or Healthcare Advocate Summit (“ADVOCATESU“ or “HCASUMM”) on your statement. Payments must be received in full by the conference date. Any discount applied cannot be combined with any other offer. Group rates only apply to employees of the same organization who register simultaneously to realize group discount pricing options. Contact team@advocatesummit.com for help with group registration and discount codes. Misrepresenting yourself or your organization to obtain a lower rate is unethical. Any organization that is unable to submit an online payment can contact team@advocatesummit.com for additional assistance.

CANCELLATION AND RETURNS


In the event, the Attendee wishes to cancel all or part of their participation in the Event, the Attendee must send written notice to team@advocatesummit.com. Sponsor shall be liable for full repayment, or one hundred percent (100%) of the total Sponsorship Fee. The Sponsor is responsible for payment of the Sponsorship Fee, irrespective of the reason for the Sponsor’s cancellation. In the event of cancellation by Sponsor, Host reserves the right to use or resell Sponsor’s canceled Event participation. The use of any complimentary exhibitor registration badges is forfeited upon cancellation of Sponsorship exhibit space. In the event an Exhibitor only wishes to cancel all or part of its participation in the Event, the Exhibitor must send written notice to team@advocatesummit.com. The Host reserves the right to refuse refunds, but should a refund be issued, the Host shall issue them based on the date the notice of cancellation is received by the Host. Notice of cancellation by Sponsors, Exhibitors, or Attendees received six (6) months prior to Event will be refunded one hundred percent (100%) of monies paid; two (2) to six (6) months prior to Event will be refunded fifty percent (50%) of monies paid. No refunds will be issued for cancellations received on or within two (2) months of the Event. The Host may apply your monies paid to future events. Refunds will be processed in accordance with the method of payment and may take up to FortyFive (45) business days. If applicable cancellation fees exceed payments already received by the Host; the Sponsor, Exhibitor, or Attendee will be invoiced for the balance due. The Host reserves the right to cancel the Event or to terminate this Agreement for any reason at any time upon written notice to the Attendee. Upon cancellation or termination by the Host, the Sponsor agrees that Host’s sole liability to Sponsor, and Sponsor’s exclusive remedy shall be a refund of the Sponsorship monies paid by the Sponsor under this Agreement.

PRIVACY POLICY

This privacy notice discloses the privacy practices used by the Host for the Event. This privacy notice applies solely to information collected by the Website. The Host is the sole owner of the information collected on the Website including personal and business information that you voluntarily provide, such as but not limited to; your name, address, telephone number, and e-mail address used to complete your application or registration. The Host may share your information with our Vendor Partners. The Host may supply sponsors with the name, title, and contact information of those attendees interested in products or services offered by the Exhibitor. The Host may periodically contact you in the future to tell you about specials, new products or services, promotional announcements, or changes to this privacy policy. If provided and authorized, you may receive occasional SMS text messages. We take all measures to follow the Telephone Consumer Protection Act (TCPA). You may opt-out of any future contacts from us, or request your data on file, at any time by sending an opt-out or data request to team@advoatesummit.com. We take precautions to protect your information. When you submit your information via the Website, your information is protected both online and offline. The website may contain links to other websites and this Privacy Policy does not apply to those sites. If you link to any of those sites, the Host recommends that you review their privacy policies. The Host will abide by the General Data Protection Regulation (GDPR) when applicable. As part of the Host’s long tradition of trust, we maintain high standards in order to safeguard personal information. The Host will remain vigilant in protecting information and using it in a fair and lawful manner.

The Healthcare Advocate Summit is owned, operated, and hosted by Prescribe+, LLC (Prescribe Plus, LLC) a for-profit Virginia limited liability company, dba Healthcare Advocate Summit. Prescribe+, LLC engages in healthcare administrative consulting, healthcare technology solutions implementation, and healthcare event management.

Terms and Services

Introduction: Prescribe+, LLC (Prescribe Plus, LLC) a for-profit Virginia limited liability company, engages in healthcare administrative consulting, healthcare technology solutions implementation, and healthcare event management. Prescribe+ owns, operates, and hosts the Healthcare Advocate Summit, the Specialty Summit USA, and the AdvocaSea events. For purposes of the Healthcare Advocate Summit event, sometimes referred to as Advocate Summit USA, Prescribe +, LLC is doing business as (dba) "Healthcare Advocate Summit".

Agreement: This "Agreement" contains the agreement between Prescribe+, LLC ("Host"), and the sponsoring company ("Sponsor"), the exhibiting company ("Exhibitor"), or the registered guest ("Attendee" or "Registree" or "Speaker" or "Participants"). Sponsor and Exhibitor are sometimes interchangeably referred to as just Sponsor. Sponsors, Exhibitors, and Attendees agree to abide by these Terms and Conditions set forth herein:

The Healthcare Advocate Summit, the Specialty Summit USA, and the AdvocaSea, ("Event" or "Show") are scheduled for different dates and time throughout the year ("Event date") at various locations ("Venue"). The events are managed by the Host, with on-site production by a number of vendors not limited to: Texas XPO (general service contractor (GSC)), Encore Event Technologies (electrical and rigging), Freeman (venue contractor), Soliman Productions (audio-video (AV)), and Meeting Made Easy (MME) (event planners) - or similar - subject to change without notice, collectively referred to herein as, "Production Team."

By registering for the Event, you ("Registree"), hereby agree to all the terms of this Agreement. You acknowledge and agree that your act of completing the online registration process, including clicking any "Submit," "Register," or similar button, constitutes your electronic signature and acceptance of this Agreement, enforceable in the same manner as a handwritten signature, in accordance with the Electronic Signatures in Global and National Commerce Act (E-SIGN), the Uniform Electronic Transactions Act (UETA), and any applicable state laws governing electronic transactions. This Agreement incorporates by reference all policies and other content that appear on our websites, www.prescribe.plus, www.healthcareadvocatesummit.com, www.specialtysummitusa.com, or www.advocaseausa.com ("Website") to include the Code of Conduct. Host reserves the right to change this Agreement at any time with or without prior notice. In the event changes are made, a revised Agreement will be posted on the Website.

"Registration fee" shall include: access to attend the conference in the limited capacity offered to all Registrees; program materials distributed by the Host, designated continental breakfasts, lunches, and refreshments. Registrees understand the Host shall not provide transportation, lodging, accommodations, or any other form of compensation, unless otherwise separately agreed to in writing.

Registree understands that the logistics of the Event are subject to change at any time, for any reason, with or without notice from the Host. Should the logistics of the Event be modified, the Host shall make reasonable efforts to find a similar replacement or substitution.

Neither the Host nor affiliates, agents, directors, contractors, or employees of Host shall be liable for any errors, inaccuracies or delays in Event content, or for any actions taken by Registree in reliance thereon.

The Host expressly provides the Event "As-Is", without any express, implied, statutory warranties, or any other type of warranty or guarantee. No data, documentation, or any other information provided by Host or obtained by Registree from or through Event, whether oral or written, creates or implies any warranty from Host to you. Host disclaims any knowledge of, and does not guarantee the accuracy, reliability, or correctness of: any data provided through the Event; that the Event will meet your specific business needs or requirements; that the Event will be available at a different time or location; that the Event will function in an uninterrupted manner; that the Event will be secure; that Host will correct any defects or errors in the Event; or that the Event is free from biological viruses.

The Host does not endorse the views or opinions given by any third party at the Event. Registree is solely responsible for any damage and registers for the Event at their own risk. Nothing in this Agreement operates to exclude, restrict, or modify the application of any implied condition, warranty, or guarantee, or the exercise of any right or remedy, or the imposition of any liability under the law where to do so would contravene that law or cause any term of this Agreement to be void.

Hotel: The Host typically secures discounts on a limited block of hotel rooms at the Venue hotel ("Hotel"), as documented on the Event Website. Onsite accommodations are available on a first-come, first-serve basis and are the responsibility of the Registree. The Host does not guarantee availability or room rates.

Event: The Host may at its sole discretion, change the site, hours, or dates of the Event. The Host will attempt to notify Sponsors, Exhibitors, and Attendees of any such changes as far in advance as possible. In the event the Host changes the site, hours, or dates of the Event, the Host shall not be liable for damages or costs incurred by the Sponsor, Exhibitor, or Attendees.

Speakers: Speakers may submit speaking or call for participant proposals during the application period. Any speakers or participants who fail to provide the necessary information may not be selected. Selected speakers understand that the Host shall not provide transportation, lodging, accommodations, honorarium, or any other form of compensation, unless otherwise separately agreed to in writing. The Host reserves the right to determine the eligibility of any Speaker to participate in the Event. All speaking presentations must conform to the Event template, look, and feel - and be free from self-promotion or advertising.

Eligible Sponsors, Exhibitors, and Attendees: The Host reserves the right to determine the eligibility of any company or product to participate in the Event, and may in its sole and absolute discretion reject any sponsor, exhibitor, or attendee for any reason, should Host deem company or product does not enhance the purpose of the Event. The Host can refuse rental of exhibit space, or terminate this Agreement if already executed, to any company whose display of goods and/or services is not, in the Host's sole discretion and judgment, in alignment with the goals of the Event. Sponsor shall participate in the Event in a professional manner and conduct itself such, so as not to be objectionable to the Host, other Sponsors, other Exhibitors, other Attendees, or the public.

The Host reserves the right to remove any of Attendee or Sponsor's personnel, agents, representatives, independent contractors, invitees or guests; as well as restrict, remove, or prohibit exhibits or content which, because of noise, method of operation, content, or any other reason that are not in alignment with the goals of the Event or are deemed inappropriate or detrimental to the Host, Event, other Sponsors, Venue, or the public. If Sponsor or its representatives fail to observe the terms and conditions of this Agreement, or, in the opinion of the Host, conduct themselves unethically, inappropriately, detrimentally, or otherwise before, during, or after the Event, the Attendee or Sponsor may be dismissed from Event without refund or other appeals.

Cancellations and Refunds: In the event, the Attendee wishes to cancel all or part of its participation in the Event, the Attendee must send written notice to team@prescribe.plus. Sponsor shall be liable for full repayment, or one hundred percent (100%) of the total Sponsorship Fee. The Sponsor is responsible for payment of the Sponsorship Fee, irrespective of the reason for the Sponsor's cancellation. In the event of cancellation by Sponsor, Host reserves the right to use or resell Sponsor's canceled Event participation. The use of any complimentary exhibitor registration badges is forfeited upon cancellation of Sponsorship exhibit space. In the event an Exhibitor only wishes to cancel all or part of its participation in the Event, the Exhibitor must send written notice to team@prescribe.plus. The Host reserves the right to refuse refunds, but should refunds be issued, the Host shall issue them based on the date the notice of cancellation is received by the Host. Notice of cancellation by Sponsors, Exhibitors, or Attendees received six (6) months prior to Event will be refunded one hundred percent (100%) of monies paid; two (2) to six (6) months prior to Event will be refunded fifty percent (50%) of monies paid. No refunds will be issued for cancellations received on or within two (2) months of the Event. The Host may apply your monies paid to future events. If applicable cancellation fees exceed payments already received by the Host, the Sponsor, Exhibitor, or Attendee will be invoiced for the balance due. The Host reserves the right to cancel the Event or to terminate this Agreement for any reason at any time upon written notice to the Attendee. Upon cancellation or termination by the Host, the Sponsor agrees that Host's sole liability to Sponsor, and Sponsor's exclusive remedy, shall be a refund of the Sponsorship monies paid by Sponsor under this Agreement.

Transfer/Name Change: If the Registree desires to change the name of attendees prior to the Event, a One Hundred Dollars and Zero Cent ($100.00) transfer fee per attendee may be incurred. Contact team@prescribe.plus for help with cancellations, substitutions, or exchanges. Should you cancel for any reason, you agree to continue to be bound by this Agreement and the Host shall not be liable for any compensation, reimbursement or damages in connection with the Event. Canceling event registration does not automatically cancel a hotel reservation and/or other travel commitments. All individuals are responsible for handling hotel cancellations and/or modifications to other travel commitments.

Referral Program: The referral program, also known as the ambassador program, may track referrals and award the referee with points for valid registrations. Award levels vary from recognition, certificates, awards, iPads, complimentary hotel stay, complimentary travel, or similar at the Host's discretion, unless terms otherwise agreed upon in writing.

Filmography and Photography: The Event is considered a private event and will be filmed and photographed. By attending this Event, you grant the Host the right to all voice, filmography, or photography that may contain your likeness and such material may be used by, but not limited to, the Host, its partners, agents, sponsors, exhibitors, and other guests, to generally promote the business such as, but not limited to advertising, brochures, magazine articles, websites, social media, etc. Any alterations or objection to this must be brought to the Host's attention and thereto approved in writing.

Permission to use Material: Sponsor grants the Host and its employees, agents, contractors, or representatives permission to use, reproduce, combine with other works, and publish worldwide in all media, Sponsor's trademarks, product names or descriptions, and logo(s) and any materials Sponsor provides for the purpose of, or as a result of participation in Event, including, without limitation, posting on websites, or publishing in other print or electronic media, brochures, newsletters, advertisements, and magazines. The Host may reasonably edit materials as necessary to conform them to a given media, e.g., changing the size of an image, or altering the color contrast e.g. black and white version, but shall not disruptively modify the Sponsor's trademarks or logos in any way without the Sponsor's prior written consent.

Attendee Badges: Attendees shall wear their badges at all times while attending the Summit. Attendees must check-in and pick up their own badges from the Healthcare Advocate Summit registration desk. To pick up a badge, all registration fees must be paid in full and the attendee will need to present a government-issued form of photo identification (i.e., a driver's license or passport). If the registration does not match the photo identification and information, the attendee may not be able to participate in the summit.

Only the attendee can use his/her designated badge; the attendee is prohibited from sharing, giving, or selling the badge to any other individual. The Host reserves the right to revoke any badge it determines is being used improperly. If the Host revokes a badge, the attendee shall not receive any form of refund or compensation. If a badge is lost or stolen, the attendee should notify the Host at the registration desk immediately. The Host may issue replacement badges at its sole discretion. Badge re-prints may be subject to a fee, not to exceed One Hundred Dollars and Zero Cent ($100.00).

Badges may feature a QR code, which may be scanned as the attendee enters certain sessions, workshops, exhibit areas or events - known as Lead Retrieval. Among other things, the code assists the Host in tracking room capacity and ensuring attendees have the appropriate access for the particular event. See Privacy Policy for more details on information sharing.

Show Attendees: The Show is a Private Event. Admission to the exposition will be available only to registered attendees and exhibitor staff of at least 21 years of age. Proof of age may be required to obtain entrance into the Event. The Host makes reasonable attempts to attract quality attendees to its Event but does not guarantee a specific number of attendees or volumes of traffic or levels of attendee qualification. Traffic by any given booth is a function of that particular exhibit and not the responsibility of the Host.

Use of Space: Venue shall not be sublet, as sharing of space is prohibited. Sponsor shall not assign, lend, or share Sponsor's exhibit space. The Host retains the right to have removed from the Event any company that has not duly contracted with the Host for exhibit space. Exhibitors must confine all demonstrations, promotional activities, and representatives to the Sponsor's predesignated Event space. No signs, literature, collateral, equipment, furniture, or promotional items may be placed, distributed or posted outside of the Sponsor's designated Event space, without prior, written authorization from the Host. All exhibitor activities must be confined to the limits of rented space and must not impede traffic, interfere with the activity of other exhibitors or otherwise be deemed unsafe. In its sole discretion, the Host may withhold or withdraw permission to display items or distribute souvenirs, advertising, or any other material that is not in alignment with the goals of the Event. Sponsor shall not promote any other person or entity, or any products other than the Sponsor, without the Host's prior written permission. "Promote" shall include but not be limited to: signage, products, demos, presentations, giveaways, and any other marketing pieces defined and determined by the Host. The Host may evict Exhibitors who, because of noise, the conduct of personnel, methods of operation, or any other reason that may detract from the goals of the Event. In the event of Exhibitor eviction, the Host will not issue a refund and the Exhibitor relinquishes now and forever any claims of damages. The rights granted by this Agreement are personal in nature. The Sponsor may not assign this Agreement to any third party without the prior written consent of the Host.

Food and Beverage: No outside food and beverage items of any type are permitted without prior written consent of the Host and Venue. Sponsors may be permitted to distribute food and beverage items only if pre-coordinated with the Host and Venue and in compliance with the applicable Venue's in-house policies and procedures and local health regulations.

Booth Assignments: Booth assignments will be made by the Host, based upon a previous sponsorship tier/ranking method and on a first-come, first-serve basis determined by the date the Application/Contract for Sponsorship and Exhibit Space is received, as well as sponsorship level, the booth selection, booth size, location specifications, proximity to other companies as indicated by the Exhibit Hall Floor Plan of the event, and any other conditions determined by Host. Furthermore, in the sole judgment of Host, should it become necessary to change the original location of an exhibitor's space, then the Host is hereby authorized to make such change and will attempt to notify the Sponsors authorized representative. Every effort by the Host will be made to accommodate the preferred requested location, but Exhibitor hereby agrees and understands no such guarantees or representations have been made by the Host.

Exhibitor Service Kit: The Exhibitor Service Kit, is sometimes referred to as Exhibitor Service Manual. The Exhibitor Service Kit, will be furnished to each exhibiting company no later than three (3) months in advance of the Event.

Character of Exhibits: Exhibit booths are based on 10'x10' units. Multiple booths may be combined to create larger booth configurations, i.e., 10'x20' booth or 20'x20' booth or larger island booths. Sponsors and Exhibitors shall work directly with the Production Team on booth logistics and setup. The Host is only selling the space. The Host will not provide signage, tables, or chairs, unless otherwise stated in writing. If on the day of the Show, the Exhibitor desires a table and chairs, the Host will invoice the Sponsor for labor and materials. See the Exhibitor Service Kit, to pre-order items and for further booth options.

Booth heights above 8' (2.4 meters) are restricted unless previously approved in writing by the Host, Venue, and Production Team. No exhibit is permitted to obstruct the view of adjacent booths. Requests to deviate from these guidelines must be submitted in writing to the Production Team for written approval by the Host prior to move-in/set-up. The Host reserves the right to direct revisions, at the Exhibitor's expense, of any exhibit that does not comply with these guidelines or any other guidelines determined by the Host on a case-by-case basis. More detailed information regarding booth design will be outlined in the Exhibitor Rules and Regulations, included in the Exhibitor Service Kit.

Apart from the specific space for which an exhibiting company has contracted with the Host, no part of the convention center, hotel, its grounds, or surrounding grounds may be used for display purposes of any kind or nature without the express written permission of the Host. Additional exhibit brand or company logo, signs, and/or trademark displays will be limited to the exposition only, and any official banner or signage purchased from or obtained through the Host.

Exhibitor Move-In: Move-in times for the exhibitors is typically scheduled for the morning prior to the first day of the Event. If sponsors are utilizing a third-party exhibit vendor, the Sponsor must pre-coordinate with the Host and Production Team. Refer to the specific Event's Exhibitor Service Kit for full hours and details.

Exhibitor Move-Out: Move-out shall not begin until the end-of-show. Move-out for the exhibitors is typically scheduled for the afternoon of the last day of the Show. Exhibitors are not permitted to break down their exhibit booths and move-out any earlier. The GSC and Host will make all reasonable efforts to deliver empties judiciously to expedite pack-up/pack-out. If an exhibitor must leave, prior to move-out, the Host will break down said exhibit, ship it to the Sponsor, and invoice the Sponsor for labor and materials. Refer to the specific Event's Exhibitor Service Kit for full hours and details.

Exhibitor Show Hours: The Event exhibits dedicated show hours with no competing sessions, as well as other times with ongoing activities in the exhibit hall. Exhibitors are required to be in their booths during dedicated exhibit times. Refer to the specific Event's Exhibitor Service Kit for full hours and details.

Exhibitor Shipping: Please refer to the specific Event's Exhibitor Service Kit, for details on in-bound and out-bound shipping instructions.

Failure to Occupy Space: Any space not at least partially occupied by 4:00 PM on Exhibitor Move-In day will be forfeited by the Exhibitor and can be used by the Host in any manner, without refund, unless arrangements for delayed occupancy have been previously approved in writing by the Host. All booths must be set up and ready for the Event no later than 4:00 PM, with no exceptions, on the move-in day, for the Host to walk-through and inspect, which inspection team shall include but not be limited to: Host, Production Team, and Fire Marshall. Any space not ready by 5:00 PM is at risk of losing its space, and the Host retains the right to resell or utilize the booth space as it sees fit. Sponsor agrees in this instance, no refund shall be issued by Host.

Exhibitor Insurance: The Exhibitor shall, at its sole cost and expense, procure and maintain through the term of this Agreement, comprehensive general liability insurance to insure against the risks covered under this Agreement and against claims for bodily injury or death and property damage occurring in or upon or resulting from the Event. Such insurance shall include contractual liability and product liability coverage, with combined single limits of liability of not less than One Million Dollars and Zero Cents, ($1,000,000.00.) Such insurance shall name the Host as an additional insured, and the Exhibitor shall (upon request, or at check-in with GSC, per the Exhibitor Service Kit) provide the Host with a certificate of insurance indicating such. Exhibitor agrees its Workers Compensation and any other insurance or required licenses shall be in full compliance with all federal and state laws, covering all of the Exhibitor's employees engaged in the performance of any work for the Exhibitor.

Payment: The Host will invoice Sponsor for the fees associated with its chosen level of sponsorship for the Event ("Sponsorship Fee"). Payment is due no later than thirty (30) days from the invoice date unless otherwise agreed to in writing. No Exhibitor will be allowed to participate in the Event unless payment in full is thirty (30) days prior to the start of the Event. The Host reserves the right to revoke or prevent the Sponsor's participation in the Event due to non-payment. Except as otherwise set forth herein, the Sponsorship Fee is non-refundable and non-cancelable.

Online payments are processed by Stripe or a similar technology company that allows Host to make and receive secure payments over the internet, ("Payment"). Electronic payments will incur a 3.2% convenience fee. Payment for the Event will appear as, Prescribe+, LLC (Prescribe Plus, LLC) dba Healthcare Advocate Summit ("PRESCRIBEP", "ADVOCATESU", or "HCASUMM"), on your bank/credit card statement. Payment must be received in full by the Event date. Any discount applied cannot be combined with any other offer. Group rates only apply to employees of the same organization and must register simultaneously to realize group discount pricing options. Contact team@prescribe.plus for help with group registration and discount codes. Misrepresenting yourself or your organization to obtain a lower rate is unethical and the Host shall not honor any pricing quote given under false pretenses. Any organization that is unable to submit an online payment should contact team@prescribe.plus for additional assistance.

No Endorsement: Exhibitors will not state or imply that their products or services are endorsed by the Host or its affiliated or subsidiary companies and no approval by the Host or any of its affiliated or subsidiary companies of any Sponsor's content or participation in the Event will be deemed an endorsement. Exhibitors may not issue any announcement or press release regarding the Event, or Exhibitors' participation in the Event, without the prior written consent of the Host.

No Partnership: Nothing in this Agreement is intended to, or will be deemed to, establish any partnership or joint venture between any of the parties, designate any party as the agent of another party, nor authorize any party to make or enter into any commitments for or on behalf of any other party.

Sales of Products/Services: Retail sales of Exhibitor goods or services must be requested and approved in advance by the Host. Companies engaged in Host-approved retail sales must comply with all Venues, local associations, state, and local sales permit requirements. Sponsor shall not distribute any food, giveaways, prizes, or collateral that would be considered potentially dangerous or destructive, including, without limitation: pocket knives, box knives, stickers, adhesive decals, helium balloons, glitter, laser pointers, or dart guns.

Americans with Disabilities Act (ADA): Exhibitor shall have sole responsibility for ensuring that its exhibit is in full compliance with the Americans with Disabilities Act and any regulations under that Act. The Exhibitor will ensure the accessibility of its exhibit space and agrees to hold harmless and indemnify the Host, and its officers, directors, affiliates, trustees, employees, and agents against any claims, damages, loss, or exposure, including attorneys' fees and costs, arising out of or related to any alleged ADA violation. The Venue shall be responsible for all accessibility requirements and labor accommodation requirements under the ADA relating to the Event, exhibit hall, hotel, and attendee facilities.

Waiver and Indemnification: Sponsor or Exhibitor shall defend, indemnify and hold harmless and agrees to make no claim of any nature whatsoever against the Host, its parent, its officers, directors, affiliates, trustees, employees, and agents, (and, in each case, their respective heirs, executors, administrators and successors and assigns) against any and all losses, liabilities, claims, damages, and expenses whatsoever to include, but not be limited to:
(i) loss, damage, or injury to any property of the exhibitor by fire, theft, destruction, vandalism or any other cause, except for such loss or damage directly attributable to the gross negligence of the Host;
(ii) any injury to the exhibitor, its agents or employees by any cause, except for such injury directly attributable to the gross negligence of the Host;
(iii) loss, damage or injury to the exhibitor's business by reason of space location or the failure to provide space for the Event, or by any failure to hold the Event as scheduled;
(iv) loss, damage or injury to the exhibitor's business caused by fire, electrical service interruption, or any other interruption occurrence;
(v) failure to comply with the provisions of this Agreement or any failure of its representations and warranties to be true and correct;
(vi) any violation of any federal or applicable law or regulation relating to its activities contemplated under this Agreement,
(vii) any breach owed; and
(viii) all consequential commercial damages arising out of any aspect of this Agreement.

Exhibitor hereby agrees to waive the right to subrogation by its insurance carriers to recover losses sustained under its insurance contract for real and personal property, when permitted by its contracts with its carriers. The Host shall in no event be liable for any indirect, incidental, special, or consequential damages, or damages for loss of profits, revenue, data, or use, incurred by the Sponsor, whether such action is in contract or tort. The Host's entire liability for damages hereunder shall in no event exceed the Sponsorship Fee paid by the Sponsor under this Agreement. This provision shall survive the termination or expiration of this Agreement.

Security: Exhibitors are responsible for the security of their exhibit and its content. Security personnel contracted directly by the Host through the venue are intended primarily for crowd control and credentials verification. Exhibitors are encouraged to budget and make security arrangements for sensitive or valuable items. The Exhibitor agrees the Host is not responsible for the security of the Exhibitors' property. Protection, booth security, and insurance coverage of Exhibitors' property, is the sole responsibility of the Exhibitor. The Host is not responsible for lost or stolen items, resulting from unoccupied or unsecured exhibits.

Fire Regulations: Each exhibitor is responsible for knowledge of and adherence to all the Venue fire and safety codes, including but not limited to those provisions published in the Exhibitor Service Kit. All electrical signs and equipment must be wired to meet the specifications of Underwriters Laboratories (UL) and must conform to appropriate federal, state, and municipal codes. Compliance with such laws is mandatory for all exhibitors and is the sole responsibility of the exhibitors. The exhibitor will comply with all Production Team rules and requirements and agrees to hold the Host harmless from any violations of codes.

Failure to Hold Show: The Host shall not be held responsible for any delay or failure to perform any part of this Agreement to the extent such delay or failure results from any cause beyond its control and without the fault or negligence of the party claiming excusable delays, such as fire, hurricane, earthquake, storm, flood, riot, strikes, civil disturbance, Acts of God, acts of war or terrorism, extraordinary acts of the United States of America or any state, territory or political subdivision thereof, pandemics, epidemics, work stoppages, strikes, lockouts, industrial disturbances, acts of a public enemy, computer viruses, systems failure or interconnect problems, theft, Government restrictions, failure of utility services, adverse weather, events of nature, political or social boycott, or any other circumstances beyond the control of the Host or the Venue, make it impossible or impractical or materially impact on the ability to hold Event.

Host reserves the right to cancel or terminate the Event, in whole or in part, for any such force majeure situation listed hereinabove or not. In such an event, the Host will make reasonable efforts to reschedule the Event. In such an event, the Host may retain or will be due such portion of the Sponsorship Fee as necessary to compensate the Host for expenses reasonably incurred up to the time of such force majeure. Any remaining rental fees shall be refunded. In no event shall the Host be liable for any direct, indirect, or consequential damages resulting in the failure to hold the Event.

Governing Law, Jurisdiction: This Agreement and all matters arising out of or relating to it shall be governed by the procedural and substantive laws of the Commonwealth of Virginia. Any dispute arising in connection with this Agreement shall first be subject to the Dispute Resolution provisions set forth herein. Should any matter proceed beyond arbitration, or should a court action be otherwise permitted under this Agreement, such action shall be heard exclusively in the courts of Charlottesville, Virginia, and each party hereto irrevocably submits and consents to such jurisdiction and venue.

Severability: If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such finding shall not affect the validity or enforceability of the remaining provisions of this Agreement, which shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.

Survival: The provisions of this Agreement relating to Waiver and Indemnification, Confidentiality and Authorization, Privacy Policy, Permission to use Material, No Endorsement, Limitation of Liability, and any other obligations that by their nature are intended to survive, shall survive the expiration, cancellation, or termination of this Agreement for any reason.

Dispute Resolution: In the event of any dispute, claim, or controversy arising out of or relating to this Agreement, the parties shall first attempt to resolve the matter through good-faith negotiation. If the dispute is not resolved within thirty (30) days of written notice, the parties agree to submit the matter to binding arbitration administered in accordance with the rules of the American Arbitration Association, to be held in Charlottesville, Virginia. The prevailing party shall be entitled to recover its reasonable attorneys' fees and costs. Each party waives any right to a jury trial and any right to participate in a class action in connection with any dispute arising under this Agreement.

Assignment: The Sponsor, Exhibitor, or Attendee may not assign, transfer, or delegate this Agreement or any rights or obligations hereunder without the prior written consent of the Host. The Host may freely assign this Agreement, in whole or in part, to any successor, affiliate, or acquiring entity without notice to or consent from the Sponsor, Exhibitor, or Attendee. Any assignment in violation of this provision shall be null and void. This Agreement shall be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.

Warranty: Sponsor, Exhibitor, or Attendee warrants that they have the authority to enter into this Agreement; that its participation in the Event will not violate any other agreement or understanding between Sponsor and a third party; that Sponsor will reimburse the Host for any losses the Host incurs resulting from any damage to the personal property of, or any personal injury to, the Host, the Event location owner, or any of their employees or contractors in connection with the Event; that no materials provided by Sponsor in connection with the Event will infringe or misappropriate any third party's rights; and Sponsors will comply with all applicable federal, state and local laws and regulations in connection with its obligations under this Agreement and its conduct in connection with the Event.

Confidentiality and Authorization: This Agreement, its terms, and conditions are agreed to be treated as confidential and the Sponsor shall not directly or indirectly disclose such information or discuss such information with any person, firm, or entity for any reason except should details of the Event be publicly announced by the Host. The Sponsor may not disclose the specific details of this Agreement or the terms of this Agreement to any third party without the Host's prior written consent. Sponsor hereby authorizes the Host to provide Sponsor's contact information, including address, phone number, fax number, and primary contact person information to the Host's events and marketing team, and any event vendor contracted to conduct work for this Event, as well as to the Event's owner and its employees, agents, and contractors.

Attendee Solicitation: Sponsors, exhibitors, and partners may not host, promote, or solicit participation in any off-site event, focus group, dinner, roundtable, or hospitality function involving Healthcare Advocate Summit attendees without the prior written approval of the Host. This includes, but is not limited to, events held before, during, or after the official Event dates that are not listed on the approved program agenda.

The list is not to be used for independent event promotion, including but not limited to off-site events, roundtables, or hospitality functions not previously disclosed to and approved by the Host. The use of the attendee list, badge scans, app engagement, website, or any affiliated contact information provided by the Host to organize or solicit participation in such unapproved activities is strictly prohibited, without prior coordination with the Host.

Sponsors are expected to engage in good faith and in alignment with the mission and collaborative spirit of the Healthcare Advocate Summit. All engagement with attendees must occur transparently and through approved channels.

Privacy Policy: This privacy notice discloses the privacy practices used by the Host for the Event. This privacy notice applies solely to information collected by the Website. The Host is the sole owner of the information collected on the Website, including personal and business information that you voluntarily provide, such as but not limited to; your name, address, telephone number, and e-mail address used to complete your application or registration. The Host may share your information with our Vendor Partners. The Host may supply sponsors with the name, title, and contact information of those attendees interested in products or services offered by the Exhibitor.

By participating in Lead Retrieval, either through scanning your badge, others' badges, or interacting with virtual exhibit booths' content and documents, or communicating on the app, you authorize bi-directional sharing of your contact information directly with that attendee or sponsor.

The Host may periodically contact you in the future to tell you about specials, new products or services, promotional announcements, or changes to this privacy policy. If provided and authorized, you may receive occasional SMS text messages. We take all measures to follow The Telephone Consumer Protection Act (TCPA). You may opt-out of any future contacts from us, or request your data on file, at any time by sending an opt-out or data request to team@prescribe.plus. We take precautions to protect your information. When you submit your information via the Website, your information is protected both online and offline. The website may contain links to other websites, and this Privacy Policy does not apply to those sites. If you link to any of those sites, the Host recommends that you review their privacy policies. Host will abide by the General Data Protection Regulation (GDPR) when applicable. As part of the Host's long tradition of trust, we maintain high standards in order to safeguard personal information. The Host will remain vigilant in protecting information and using it fairly and lawfully.

Communicable Disease and Health Risk — Waiver of Liability: I agree to abide by all health and safety guidelines and recommendations promulgated by government agencies, including but not limited to federal, state, and local officials, the Host, and the Event venue. This includes, but is not limited to, submitting to restrictions set in place during the Event that may consist of health screenings, wearing personal protective equipment in designated areas, engaging in appropriate physical distancing, and restrictions on certain activities that may carry a higher communicable disease or health risk (e.g., COVID-19, influenza, or similar infectious illness). Such risks may include but are not limited to, congregating in large gatherings or attending off-site events in private or public facilities. I further agree that I will not attend the Event in person if I become ill or symptomatic, have any symptoms of a communicable illness including but not limited to fever, respiratory symptoms, or other signs of infection, have been exposed to a known communicable disease within fourteen (14) days prior to the Event, or have received a positive test result for any communicable illness.

I acknowledge the risk of contracting a communicable disease associated with in-person participation at the Event, and I assume all risks related thereto. I hereby acknowledge and agree that my participation is done with full knowledge and disclosure of the risks and dangers associated with such participation and hereby relinquish and waive the Host from any and all liability.

I acknowledge that if I test positive for a communicable disease up to five (5) days after the Event, I will inform the Host of such results. The Host will monitor the situation, and the Host's health and safety policies are subject to change at any time, with or without notice.

I hereby assume all responsibility for all risk, including but not limited to sickness, disease, death, and damages of any kind (collectively, "damages") sustained by me arising out of or relating to my presence at the Event or activity. This assumption of responsibility and risk includes (without limitation) such damage caused, or allegedly caused, in whole or in part by any of the following: the "Host", the "Venue", the "Production Team", and their agents (collectively, the "indemnified parties"). I further acknowledge that the indemnified parties have made no representations or warranties, nor have I relied upon any representations or warranties, expressed or implied, as to the safety of the Event or activity. I knowingly and voluntarily agree to the terms and conditions stated above.

Amendment of Rules: The Host reserves the right to make changes, amendments, and additions to these Terms & Conditions for Sponsors, Exhibitors, and Attendees at any time, and all changes, amendments, and additions so made shall be binding on the Attendees, with the provision that all Attendees will be advised of any such changes. Any matters not specifically covered herein are subject to decision by the Host.

Entire Agreement: This Agreement constitutes the complete agreement between the "Sponsor", "Exhibitor", "Attendee", or "Registree" and "Host", and supersedes all prior or contemporaneous agreements or representations, written or oral, concerning the subject matter hereof. This Agreement may not be modified or amended except in writing and signed by a duly authorized representative of each party.
